Michael’s law practice is focused on commercial, corporate, insurance defense, and insurance coverage matters. He regularly handles complex commercial transactions and represents clients in business disputes. His experience includes providing outside general counsel services in matters of corporate governance, mergers & acquisitions, intellectual property rights, contracting, and employment.
Michael advises clients in connection with international manufacturing and trade, including corporate structure, protection of intellectual property rights, dispute resolution, indemnification, and credit risk. He negotiates licensing, supplier and distributorship agreements, and represents borrowers and lenders in the extension of loan facilities. Michael advises clients on issues relating to mergers and acquisitions, including negotiation of purchase terms, earn-outs, employment, non-compete, and other agreements, and assists clients in conducting related due diligence. Michael has represented lenders in consumer disputes, including class action defense and negotiated class settlements.
Michael follows and writes about COVID related federal and Maryland legislation affecting businesses and regularly presents on different business topics.
He is a Certified Public Accountant and has served in the past as the chief financial officer of an international non-profit organization and as a financial consultant.
Michael has served on many non-profit boards. He is currently a board member of the Resource Center for Religious Institutes and sits on the finance committees of other organizations.
